Tax Practice Group

The firm provides tax services to individuals, partnerships, limited liability companies, corporations, trusts, and tax-exempt organizations with respect to federal income, gift, and estate tax issues on state and local taxation. The firm provides tax services including state and federal tax litigation; partnership, limited liability company, and corporate tax planning; estate and gift tax planning; California and Nevada state tax matters; structuring complex transactions; creation and implementation of trust and wills; and representation of clients before the Internal Revenue Service, the Nevada Department of Taxation, and California Franchise Tax Board.

Both Michael E. Kearney and Andrew J. Glendon hold LL.M in tax degrees from New York University. Mr. Kearney has over twenty years experience as transaction and tax counsel representing Nevada interests. The department’s extensive corporate tax planning practice includes mergers and acquisitions, and corporate restructuring transactions, including recapitalizations, spin-offs, and split-offs. The firm’s tax attorneys specialize in the acquisition and disposition of gaming properties and are intimately familiar with the tax nuances associated with such transactions.

The firm’s tax attorneys work closely with members of the firm’s real estate department in structuring real estate acquisitions, including Section 1031 exchanges, and in drafting complex limited liability company operating agreements for real estate investments. The firm’s tax attorneys also work with high net worth individuals in formulating comprehensive wealth transfer planning, business succession planning, corporate recapitalization, the creation of limited partnerships and limited liability companies, buy-sell agreements, and voting trusts.
